(“Loris”, “we”, “our” or “us”) use, collect and store personal information that we collect or receive from or about you (“you”) in connection with http://www.loris.ai/ (the “Website“) and the Services provided by Loris to its Customers.   Loris is a B2B company leveraging years of experience de-escalating the most difficult crisis situations to improve the most difficult conversations companies have with their customers. Loris operates a business that utilizes machine learning and natural language processing technology to provide a range of services to businesses. We do not provide our Services directly to consumers. Instead, businesses who are customers of Loris (“Customers”) may contract to use Loris services (such consumer-directed services, as now existing and/or as may exist and/or be developed in the future, collectively, “Services”) by entering into a Master Services Agreement, or equivalent, with Loris. Our Services are designed to enable Customers’ employees (“Customer Employees”) to perform certain acts and/or realize certain benefits by utilizing our software to communicate with one another or with their consumers.   If you are a Customer Employee using our Services on behalf of one of our Customers (e.g., your employer), we collect, use, and disclose personal information about you acting in our capacity as a “processor” or “service provider” to our Customers and as further described below. When we act as a “processor” to our Customers, we process personal information in accordance with the terms of the agreement we have with our Customer, our Customer’s lawful instructions, and consistent with this Privacy Policy. Please note that, because of the changing nature of privacy laws, rules, and regulations, digital technologies, and our business, we may modify this Privacy Policy from time to time. Please review this Privacy Policy periodically to become aware of any changes that may have occurred; we will update the effective date at the top of the page to help you know when changes have been made. Your continued use of the Loris Website and/or our Services after we make such changes is deemed to be acceptance of those changes, so we encourage you to review the Privacy Policy whenever you access the Loris Website to stay informed about our privacy practices.
  1. WHAT PERSONAL INFORMATION WE COLLECT, WHY WE COLLECT IT, AND HOW IT IS USED
 
  • We Process the Following Personal Information:
 
  1. Information provided through the Services. We collect personal information that you voluntarily provide, including full name, email address, as well as any other information that you decide to provide us with. We also collect the contact and billing information of our Customers. When you make use of the Services, we collect certain data relating to the performance and configuration of our Service and the Customers use of, and interaction with the Service.
  2. Information provided through the Website. When submitting information on our Website, including, without limitation, when you apply for a job (careers site), send us a contact us request or other questions or messages, when you register to our newsletter, when you request us to provide you a demo. We collect personal information, such as full name, email address, address, telephone number, CV and cover letter, your messages, questions and other messages and any other information that you decide to provide us with.
  3. Information automatically collected via the Website. When you visit the Loris Website, we may automatically collect information about you, through the following technologies:
    • Log Information: Loris collects log information about your use of Loris’ Website, including the type of browser you use, access times, pages viewed, your IP address, and the page you visited before navigating to our website and/or the Services.
    • Cookies: Loris uses cookies to collect information about visitors and visits to Loris’ Website and/or the Services. Cookies are small data files stored on your hard drive or in device memory that help us improve our website and your experience, see which areas and features of Loris’ Website and/or the Services are popular, and count visits.     • Other similar technologies: We also automatically collect information through Web beacons, tracking pixels, and other tracking technologies on the Loris’ Website. See below more information in section 8.
  4. Information from Other Sources. In certain cases, Loris also obtain information about you from other sources, including publicly – or commercially- available information, and through third-party data platforms, partners, and service providers.
  5. Information you provide to us in person. For example, when you visit one of our exhibition booths or attend one of our events, and you provide us with your contact details. We will use this information to answer your enquiries or provide additional information to you.
  6. Information we collect from online interactions. For example, if you attend a webinar, contact us via social media or otherwise interact with our business, including as a representative of a current / prospective customer, supplier, or partner, we track and make a record of those interactions, which may contain your contact details, such as full name, email address, messages and any other information that you decide to provide us with.
 
  • We process information for the following purposes:
 
  1. To provide you with the Services. We will use the information, including, without limitation, for the following purposes: (i) to provide our Customers with the Services and to process Customer’s request, (ii) to manage our contractual obligations under the contracts we have with our Customers; (iii) allow Customers to create an account and to provide Customers the Services and to process Customers’ requests; (iv) communicate with Customers about the use of our Services and for support purposes; (v) fulfill any instruction and/or request made by Customers in the context of the Services; (vi) send Customers push notifications and/or emails and notifications regarding customers’ account or certain features of the Services, including, updates pertaining to the subscription, and related to the services we provide Customers with; (vii) to personalize your experience with our Services and provide our Customers with insights and recommendations; (viii) to allow Customers to create more users and administrate its users; and (ix) to generally administer and improve the Services.
  2. To allow you to make use of our Website. We will use your information to allow you to make use of our Website, including, (i) if you request a demo, we will use your personal information to process and answer your request for a demo; (ii) to answer your inquiry, comments, questions and requests and to allow you to communicate with us; (iii) to provide you with relevant material requested; (iv) to analyze your use of our Website and to improve our Website; and (v) to customize your experience (vi) to improve the content, speed, and security of the Website; (vii) to process and consider your CV and/or job application; and (viii) carry out any other purpose described to you at the time the information was collected.
  3. For Administrative Purposes. Loris may use your information (i) to respond to your questions, comments, and other requests for customer support, or information, including information about potential or future services; (ii) to provide you with the Services; (iii) for internal quality control purposes; (iv) to establish a business relationship; and (v) to generally administer the Services.
  4. To Market our Website and Services. Loris may use information to market the Services. Such use includes (i) notifying you about offers and services that may be of interest to you; (ii) tailoring content, advertisements, and offers for you, including, targeting and re-targeting practices; (iii) conducting market research; (iv) developing and marketing new products and services, and to measure interest in our Services; (v) other purposes disclosed at the time you provide information; and (vi) as you otherwise consent.
  5. Security purposes. Some of the abovementioned information will be used for detecting, taking steps to prevent and prosecuting fraud or other illegal activity; to identify and repair errors; to conduct audits; and for security purposes. Information may also be used to comply with applicable laws, with investigations performed by the relevant authorities, law enforcement purposes, and/or to exercise or defend legal claims.
  6. De-identified and Aggregated Information Use. In certain cases, we may or will anonymize, aggregate and/or de-identify part of your information mentioned above, and further use it for internal and external purposes, including, without limitation, to analyze and improve the Services (including through the use of artificial intelligence), to make benchmarks, to understand patters and/or for research purposes. We may use this anonymous or de-identified information and/or disclose it to third parties without restrictions (for example, in order to improve our services and enhance your experience with them and/or to develop new product features and improve existing offerings).
  7. Cookies and Similar Technologies. We, as well as third parties that provide content, advertising, or other functionality on the Website and Services, use technologies to automatically collect information through the Website and Services. We use technologies that are essentially small data files placed on your device that allow us to record certain pieces of information whenever you visit or interact with the Website and Services.
 
  • The lawful bases we rely on for processing personal information are (only GDPR applicable):
  1. The data subject has given consent to the processing of his or her personal information;
  2. Processing is necessary for the performance of a contract to which the data subject is party or in order to take steps at the request of the data subject prior to entering into a contract;
  3. processing is necessary for compliance with a legal obligation to which the controller is subject; and/or
  4. Processing is necessary for the purposes of legitimate interest.
 
  1. HOW WE PROTECT AND RETAIN YOUR PERSONAL INFORMATION
 
  • Security. We follow generally accepted industry standard systems and procedures to protect personal information that we store or transmit, including implementing reasonable and appropriate physical, electronic, and operational and organizational measures to protect against unauthorized access to, unauthorized or unlawful use of, and unauthorized disclosure of personal information.
Please keep in mind, however, that despite our efforts to keep personal information secure, no storage or transmission of information can be guaranteed to be completely secure. Please also keep in mind that we are not responsible for the security measures of our customers, service providers, or any other third parties.  
  • Retention of your information. Your information will be stored until we delete our records, and we proactively delete it, or if you send a valid deletion request. Please note that in some circumstances we may store your information for longer periods of time, for example (i) where we are required to do so in accordance with legal, regulatory, tax or accounting requirements, or (ii) for us to have an accurate record of your dealings with us in the event of any complaints or challenges, and/or (iii) if we reasonably believe there is a prospect of litigation relating to your information or dealings. We retain aggregated and de-identified data collected through the Website and the Services indefinitely, so that we may continue to use it to as described in Section 1 above.
 
  1. HOW WE SHARE YOUR PERSONAL INFORMATION
  We may share your information as follows:
  • The information Loris gathers is shared with our partners and other third parties. We may also share information with our affiliated companies about you.
  • We may use third party service providers to process your information for the purposes outlined above, including, without limitation:
    • With cloud service providers for hosting purposes;
    • With websites and web content creation platforms in order to help us manage our Website;
    • With email providers, marketing, CRM, other similar tool providers; and
    • With analytic companies, in order to help us understand and analyze information we collect in accordance with this policy.
  • To the extent necessary, with regulators, courts, banks or competent authorities, to comply with applicable laws, regulations and rules (including, without limitation, federal, state or local laws), and requests of law enforcement, regulatory and other governmental agencies or if required to do so by court order, as well as for internal compliance procedures and to protect the safety, security, and integrity of Loris, our Website and Services, customers, employees, property, and the public.
  • If, in the future, we sell or transfer, or we consider selling or transferring, some or all of our business, shares or assets to a third party, we will disclose your information to such third party (whether actual or potential) in connection with the foregoing events (including, without limitation, our current or potential investors). In the event that we are acquired by, or merged with, a third-party entity, or in the event of bankruptcy or a comparable event, we reserve the right to transfer, disclose or assign your information in connection with the foregoing events.
  • when we believe in good faith your actions are inconsistent with our user agreements or policies, or doing so is necessary to either protect the rights, property and safety of Loris or others or to investigate fraud;
  • Where you have otherwise provided your consent to us for sharing or transferring your information.

  1. YOUR PRIVACY RIGHTS 4.1. The following rights (which may be subject to certain exemptions or derogations) shall apply to certain individuals (some of which only apply to individuals protected by specific laws, for example GDPR): a) You have the right to withdraw consent to the processing, where consent is the basis of processing. b) You have the right to access the personal information that we hold and request further details about how we process it, under certain conditions. c) You have the right to demand rectification of inaccurate personal information about you. We will promptly correct any information found to be incorrect. d) You have the right to object to unlawful data processing under certain conditions. e) You have the right to the erasure of past data about you (your “right to be forgotten”) under certain conditions. f) You have the right to demand that we restrict the processing of your personal information, under certain conditions, if you believe we have exceeded the legitimate basis for processing, the processing is no longer necessary, or if you believe your personal information is inaccurate. g) You have the right to data portability of personal information concerning you that you provided us in a structured, commonly used, and machine-readable format, subject to certain conditions. h) The personal information we collect is not used for automated decision-making and profiling, except for automated processes in the context of marketing. As stated above, you can opt out of direct marketing by Loris by contacting Loris directly or by following the instructions through the unsubscribe options in our email messages.4.2. You can exercise your rights by contacting us at privacy@loris.ai. You may use an authorized agent to submit a request on your behalf if you provide the authorized agent with written permission signed by you. To protect your privacy, we may take steps to verify your identity before fulfilling your request. Subject to legal and other permissible considerations, we will make every reasonable effort to honor your request promptly in accordance with applicable law or inform you if we require further information in order to fulfil your request. When processing your request, we may ask you for additional information to confirm or verify your identity and for security purposes before processing and/or honoring your request. We reserve the right to charge a fee where permitted by law, for instance if your request is manifestly unfounded or excessive. In the event that your request would adversely affect the rights and freedoms of others (for example, would impact the duty of confidentiality we owe to others) or if we are legally entitled to deal with your request in a different way than initial requested, we will address your request to the maximum extent possible, all in accordance with applicable law. 4.3. Marketing emails – opt-out: You may choose not to receive marketing email of this type by sending a single email with the subject “BLOCK” to privacy@loris.ai. Please note that the email must come from the email account you wish to block OR if you receive an unwanted email from us, you can use the unsubscribe link found at the bottom of the email to opt out of receiving future emails, and we will process your request within a reasonable time after receipt.
                                                                              
  1. INTERNATIONAL TRANSFERS OF PERSONAL INFORMATION
  2. 5.1. In order to run our business and provide our Website and Services to you, we transfer personal information to certain countries around the world, including to our affiliates and service providers, many of whom are located outside of your jurisdiction. Therefore, your personal information may be processed in countries with privacy laws that are different from privacy laws in your country. Whenever we make such transfers, we will use commercially reasonable efforts to implement an appropriate level of protection to your personal information by implementing at least one of the following safeguards: i. making sure the destination country has been deemed to provide an adequate level of protection for personal information; and/or ii. by executing implement data onward transfer instruments such as data processing and protection agreements.
 
  1. USE BY CHILDREN. We do not offer our products or services for use by children and, therefore, we do not knowingly collect information from, and/or about children under the age of 18. If you are under the age of 18, do not provide any information to us without the involvement of a parent or a guardian. In the event that we become aware that you provide information in violation of applicable privacy laws, we reserve the right to delete it.   1. INTERACTION WITH THIRD PARTY PRODUCTS. We enable you to interact with third party websites, mobile software applications and products or services that are not owned, or controlled, by us (each, a “Third Party Service”). We are not responsible for the privacy practices or the content of such Third Party Services. Please be aware that Third Party Services can collect information from you. Accordingly, we encourage you to read the terms and conditions and privacy policies of each Third Party Service.
 
  1. ANALYTIC TOOLS/COOKIES
  • Google Analytics. The Website uses a tool called “Google Analytics” to collect information about use of the Website. Google Analytics collects information such as how often users visit this Website, what pages they visit when they do so, and what other websites they used prior to coming to this Website. We use the information we get from Google Analytics to maintain and improve the Website and our products. We do not combine the information collected through the use of Google Analytics with information we collect. Google’s ability to use and share information collected by Google Analytics about your visits to this Website is restricted by the Google Analytics Terms of Service, available at https://marketingplatform.google.com/about/analytics/terms/us/, and the Google Privacy Policy, available at http://www.google.com/policies/privacy/.   1. SPECIFIC PROVISIONS APPLICABLE UNDER CALIFORNIA PRIVACY LAW
    • Our California Do Not Track Notice: Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers.  Please note that we do not respond to or honor DNT signals or similar mechanisms transmitted by web browsers, but we may allow third parties, such as companies that provide us with analytics tools, to collect personally identifiable information about an individual consumer’s online activities over time and across different web sites when a consumer uses the Website.
